Terms of Service

The agreement between your agency and Aqari CRM. One policy for all GCC markets — UAE, Saudi Arabia, Qatar, Kuwait, Bahrain, and Oman.

These Terms of Service (“Terms”) govern access to and use of the Aqari CRM software platform by real estate agencies and their authorised users in the United Arab Emirates and Gulf Cooperation Council region (“GCC”).

One policy for all markets: The same Terms apply to every customer regardless of GCC country, emirate, or city. We do not publish separate country-specific terms.

By creating an account, completing checkout, or using the Service, you agree to these Terms, our Privacy Policy, and our Payment, Cancellation & Refund Policy, which are incorporated by reference.


1. Who we are and who you are

1.1 “Aqari”, “we”, “us”, and “our” mean the operator of the Aqari CRM platform.

1.2 “Customer”, “you”, and “your” mean the real estate agency (or brokerage) that subscribes to the Service, including its owners, administrators, and authorised staff.

1.3 “Users” mean individuals you invite to your workspace (agents, admins, support staff).

1.4 “Leads” mean your prospective or existing property customers whose data you store in the CRM.

1.5 The Service is business-to-business (B2B) software. It is intended for licensed or lawfully operating real estate agencies, not for consumers buying property from us.


2. The Service

2.1 Aqari CRM is a cloud-based customer relationship management platform for real estate agencies, including features such as:

  • Lead and pipeline management
  • Property listings and sharing
  • Follow-ups and team collaboration
  • WhatsApp inbox and messaging integrations
  • Voice bridge calling (via third-party telecom providers)
  • Optional AI features: Aqari Sara (automated lead messaging) and Aqari Agent (broker coaching inside the CRM)
  • Reporting, attendance, and related tools depending on your plan

2.2 We may add, change, or remove features. Material reductions to features included in your paid plan will be communicated with reasonable notice where practicable.

2.3 We do not:

  • Sell, lease, or broker property on your behalf
  • Run Facebook, Instagram, Google, or other advertising campaigns for you
  • Guarantee leads, conversions, or revenue
  • Provide legal, tax, financial, or immigration advice

2.4 Advertising spend on Meta, Google, or other platforms is paid by you directly to those platforms. We may provide technical integration to receive leads from your ads into the CRM.


3. Accounts and eligibility

3.1 You must provide accurate registration information and keep it up to date.

3.2 You are responsible for all activity under your workspace, including actions by your Users and any use of integrations (WhatsApp, webhooks, API keys).

3.3 You must ensure Users are authorised employees or contractors of your agency and bound by confidentiality obligations at least as protective as these Terms.

3.4 You must comply with applicable UAE and GCC laws, including real estate brokerage regulations, telecommunications rules, data protection laws, and Meta WhatsApp Business policies.

3.5 One subscription is for one agency organisation unless otherwise agreed in writing. You may not resell, sublicense, or white-label the Platform without our written consent.


4. Subscription plans and fees

4.1 Access to paid features requires an active subscription on a plan (e.g. Starter, Professional, Agency) as shown on our pricing page and at checkout.

4.2 Fees include:

  • Monthly subscription fee (recurring)
  • One-time setup fee (charged once on first successful activation only)
  • Usage overage for telecommunications and metered services beyond plan allowances

4.3 Full payment terms, currency, renewals, cancellations, and refunds are in our Payment, Cancellation & Refund Policy.

4.4 Free trials or pilot access, if offered, are subject to these Terms and may be withdrawn at any time.


5. AI features (Aqari Sara and Aqari Agent)

5.1 Aqari Sara is an optional automated assistant that may message your Leads on channels you enable (e.g. WhatsApp, SMS, email). Sara introduces herself as “Sara for [Your Agency Name]”. Sara is not a licensed real estate agent.

5.2 Aqari Agentinside the CRM for your brokers only**. It does not message Leads directly.

5.3 AI outputs may be inaccurate or incomplete. You are responsible for supervising AI messaging, responding to escalations, and ensuring your agency complies with applicable laws.

5.4 Locked safety rules (no selling/closing on behalf of the agency, escalation to humans, no invented prices, automated disclaimers) are enforced in software and cannot be disabled. Additional detail is in our internal AI Assistant Policy, summarised in these Terms.

5.5 You must not use AI features to send unlawful, deceptive, harassing, or spam content.

5.6 AI processing may involve third-party providers (e.g. OpenAI, Google). See our Privacy Policy.


6. Your data and content

6.1 Your Content includes leads, messages, property data, files, and other information you or your Users upload or generate in the Service.

6.2 You retain ownership of Your Content. You grant us a limited licence to host, process, transmit, and display Your Content solely to provide and improve the Service, comply with law, and enforce these Terms.

6.3 You represent that you have all rights and consents needed to collect and process Lead data in the CRM, including for messaging and AI features.

6.4 Our handling of personal data is described in the Privacy Policy.


7. Acceptable use

You agree not to:

  • Violate any law or third-party rights
  • Send unsolicited bulk messages or violate WhatsApp/Meta policies
  • Upload malware, attempt unauthorised access, or disrupt the Platform
  • Use the Service for non–real-estate purposes at scale (e.g. unrelated promotions, illegal schemes)
  • Misrepresent AI messages as coming from a licensed human agent without required disclosures
  • Circumvent usage limits, billing, or security controls

We may suspend or terminate access for material breach or risk to the Platform, other customers, or third-party providers.


8. Third-party services

8.1 The Service integrates with third parties including, without limitation: Stripe (payments), Supabase (hosting/database), Twilio (voice/SMS), Meta (WhatsApp), email providers, and AI model providers.

8.2 Your use of third-party services may be subject to their terms. We are not responsible for third-party outages, policy changes, or pricing changes by those providers.

8.3 Telecommunications and WhatsApp delivery depend on factors outside our control (carrier networks, Meta approval, number quality, template approval).

8.4 WhatsApp Business Platform (Official API compliance). Where you enable WhatsApp messaging, you agree that:

  • You will use the WhatsApp Business Platform (Official API) only through integrations we provide or approve — not unofficial clients, scraped sessions, or unapproved third-party gateways.
  • You are responsible for completing Meta Business verification, maintaining an approved WhatsApp Business Account (WABA), display name, and phone number in good standing with Meta.
  • Business-initiated messages outside an open customer service window must use Meta-approved message templates and comply with template category rules.
  • You must obtain and maintain any opt-in or lawful basis required before messaging Leads on WhatsApp, and honour opt-out requests promptly.
  • You must comply with the Meta WhatsApp Business Messaging Policy, Commerce Policy (where applicable), and applicable UAE/GCC telecommunications and marketing laws.
  • You are responsible for message content sent by your Users and by Aqari Sara when enabled, including accuracy, disclosures, and prohibited content (spam, harassment, misleading offers).
  • Quality rating, throughput limits, and number restrictions imposed by Meta apply to your account. We may throttle, suspend, or disable WhatsApp features if Meta flags your number, if you breach this section, or to protect the Platform and other customers.
  • We do not guarantee Meta approval, template approval, delivery rates, or continued availability of WhatsApp in any country.

9. Availability and support

9.1 We aim for high availability but do not guarantee uninterrupted access. Maintenance, updates, and force majeure events may cause downtime.

9.2 Support level depends on your plan (standard, priority, or dedicated as described on the pricing page).

9.3 You are responsible for your internet connection, devices, and configuration of integrations.


10. Intellectual property

10.1 We own the Platform, software, branding (including Aqari, Aqari CRM, Aqari Sara, Aqari Agent), documentation, and all related intellectual property, except Your Content.

10.2 During an active subscription, we grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business operations.

10.3 You may not copy, modify, reverse engineer, or create derivative works of the Platform except as permitted by law.


11. Confidentiality

Each party may receive confidential information from the other. You must protect our non-public product, pricing, and security information. We will protect Your Content in accordance with the Privacy Policy and applicable law.


12. Warranties and disclaimers

12.1 The Service is provided “as is” and “as available” to the fullest extent permitted by law.

12.2 We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12.3 We do not warrant that the Service will be error-free, that AI outputs will be accurate, or that you will achieve any particular business result.


13. Limitation of liability

13.1 To the maximum extent permitted by applicable law in the UAE:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
  • Our total aggregate liability arising from or related to the Service in any twelve (12) month period shall not exceed the fees you paid to us in that period (excluding pass-through telecommunications charges billed at cost).

13.2 Nothing in these Terms limits liability that cannot be limited under applicable law (including fraud or wilful misconduct).


14. Indemnity

You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from: (a) Your Content; (b) your messaging or brokerage activities; (c) your breach of these Terms or law; (d) disputes between you and your Leads or staff; except to the extent caused by our gross negligence or wilful misconduct.


15. Term, suspension, and termination

15.1 These Terms begin when you accept them and continue while you use the Service.

15.2 You may cancel your subscription as described in the Payment, Cancellation & Refund Policy.

15.3 We may suspend or terminate access for non-payment, breach, legal requirement, or risk to the Platform, with notice where reasonable.

15.4 Upon termination, your right to access the Service ends. We may delete or retain data as described in the Privacy Policy and applicable law. You should export data before cancellation where the product provides export tools.


16. Changes to these Terms

We may update these Terms by posting a new version on our website and/or notifying account administrators by email. Material changes take effect no sooner than 30 days after notice, except changes required by law may be immediate. Continued use after the effective date constitutes acceptance.


17. Governing law and disputes

17.1 These Terms are governed by the laws of the United Arab Emirates.

17.2 The courts of the Emirate of Dubai shall have exclusive jurisdiction, unless mandatory law requires otherwise.

17.3 Before formal proceedings, the parties will attempt in good faith to resolve disputes by contacting [email protected] within thirty (30) days.


18. General

18.1 Entire agreement: These Terms, the Privacy Policy, and the Payment, Cancellation & Refund Policy constitute the entire agreement regarding the Service.

18.2 Severability: If any provision is unenforceable, the remainder stays in effect.

18.3 No waiver: Failure to enforce a provision is not a waiver.

18.4 Assignment: You may not assign these Terms without our consent. We may assign to an affiliate or successor.

18.5 Force majeure: We are not liable for delays or failures due to events beyond reasonable control.
